Dr. Henning Bloss has advised the mezzanine lender Ember Capital in connection with the sale of Holmer Maschinenbau to the French Exel Industries group. Holmer is one of the world's leading manufacturers of harvesting machines for sugar beets and has approx. 400 employees in six countries.

Heymann & Partner advises Tom Tailor on the purchase of Bonita

The renowned fashion company Tom Tailor located in Hamburg has purchased 100 % of the shares, with value of 220 million Euro, of one of the biggest women's apparel retail businesses in Germany, Bonita. Subsequent to the purchase, Tom Tailor will take over about 1,350 fashion stores with more than 6,100 employees in Germany, Austria, Switzerland and Benelux.

In addition to a cash payment of 150 million Euros, the seller will receive about 6 million new Tom Tailor shares. One part of the cash payment will be funded by capital increase through stock issue of about 1.65 million new shares; the remainder will be financed through outside capital.

This deal is still under restriction and awaiting final approval by the Anti Trust Agency by the beginning of August.

During this transaction, Tom Tailor is being consulted by Thomas Heymann, Dr. Henning Bloß (Corporate/Finance), Titus Walek (Corporate), Walter Born (Employment Law), David Frisch, Nina Trakostanec (Corporate), Vera Kunze (Employment Law), Julia Züllich (IP) and Dr. Till Contzen (Real Estate Law).

Heymann & Partner consults Tom Tailor regarding the capital increase

Tom Tailor intents to use the proceeds generated through the capital increase of 220,000,000.00 EUR to partially finance the takeover of Bonita Group with the appreciation of value of round 1,65 new registered shares.

The new shares were placed at an issue price of 12.50 EUR per share. The price of the share rose from 12.50 EUR to a closing price of 13.37.

DocuWare AG is one of the leading global software producers of document management solutions. The company, established in 1988, operates worldwide from Germering/Munich and New Windsor/New York and has subsidiaries in Great Britain, Spain and France.
